Which legal form should you choose to set up a company in Tunisia?
The most common forms are the SUARL (single-member limited company), the SARL (limited liability company with 2 to 50 partners) and the SA (public limited company with at least 7 shareholders and more structured governance). The choice depends on the number of partners, the capital, the financing plan and the investment regime sought: we help you decide.
Can a foreigner set up a company in Tunisia?
Yes. The Investment Law establishes the freedom to invest, subject to activities requiring authorisation, and a non-resident can hold most or even all of the share capital in most sectors. After incorporation, the foreign-currency investment must be declared to the Central Bank of Tunisia (investment form) within two months, so that dividends can later be transferred abroad.
How long does it take to set up a company?
Once the documents are ready (signed articles, domiciliation, identity documents or power of attorney), registration with the RNE is usually obtained within a few days. For a foreign investor, opening the bank account and paying up the capital must be added: we give you a precise timetable at the first meeting.
