Due Diligence
Identify and assess the risks surrounding your acquisition project with confidence.
You are an investor seeking to acquire a company and you need to take your target apart. Our teams will help you:
- •Identify and measure the complex risks surrounding the target, particularly from a tax, labour and legal perspective.
- •Make sure the assets actually exist and are regular.
- •Make sure the target has the intrinsic capacity to create value in the future.
- •Analyse the target company in terms of financial balance and the profitability of the resources employed.
- •Position the target within its strategic field in order to identify its strengths, weaknesses, opportunities and threats (SWOT analysis).
- •Assess the soundness of relationships and contracts with customers, suppliers, funders and employees.
- •Assess all technological (IT), environmental and cultural risks.
We will also provide operational support in valuing the target and conducting negotiations on the transaction price.
Finally, we will help you draft the various legal documents, such as letters of intent, confidentiality agreements, sale and purchase agreements and asset and liability warranty clauses.

Due diligence in Tunisia: your questions
What is acquisition due diligence?
It is an in-depth review of the target company before a buyout or an equity investment: quality of earnings, net debt, working capital requirements, tax, labour and legal risks. It helps set the right price and negotiate warranties.
What types of due diligence do you perform?
Financial, tax, labour and legal due diligence, in coordination with your lawyers and advisers. We mainly act on behalf of buyers and investors, and can also help business owners prepare their company for sale.
How long does due diligence take?
Generally two to six weeks, depending on the size of the target, the quality of the information available (data room) and the agreed scope. We deliver a report ranking the risks and their impact on the price and the legal documentation.
